1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and BitCodeBeast ("Company", "we", "our", or "us") regarding your use of our services. By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Services Description

BitCodeBeast provides comprehensive software development services including but not limited to:

• Custom web application development
• Mobile application development (iOS and Android)
• Cloud solutions and infrastructure services
• Data analytics and business intelligence solutions
• Software consulting and architecture design
• Maintenance and support services
• Quality assurance and testing services

3. Service Agreement and Project Scope

All projects are governed by a separate Service Agreement that outlines specific deliverables, timelines, and costs. Any conflicting terms in purchase orders or other documents are without effect unless signed by both parties. All services are deemed to be provided pursuant to a written agreement.

4. Payment Terms

Payment terms are specified in individual Service Agreements. Generally:

5. Intellectual Property Rights

Both parties agree to maintain confidentiality of proprietary information disclosed during the course of the engagement. This obligation survives termination of the agreement and continues for a period of five (5) years.

7. Warranties and Disclaimers

We warrant that services will be performed in a professional manner consistent with industry standards. However:

• Software is provided "as is" without warranty of any kind
• We disclaim all implied warranties including merchantability and fitness for a particular purpose
• We do not warrant that software will be error-free or uninterrupted

8. Limitation of Liability

IN NO EVENT SHALL BITCODEBEAST BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY CLIENT FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM.

9. Indemnification

Client agrees to indemnify and hold harmless BitCodeBeast from any claims, damages, or expenses arising from:

• Client's breach of these Terms
• Client's use or misuse of delivered software
• Third-party claims related to Client's content or data

10. Termination

Either party may terminate services with written notice. Upon termination:

• Client remains liable for all charges incurred prior to termination
• BitCodeBeast will deliver all completed work
• Confidentiality obligations continue

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond reasonable control, including natural disasters, war, terrorism, or government actions.

12. Governing Law

These Terms are governed by the laws of [Jurisdiction] without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration.

Software License Agreement

This Software License Agreement ("Agreement") is between you ("Licensee") and BitCodeBeast ("Licensor") regarding the use of software and related documentation ("Software") developed and delivered by BitCodeBeast.

1. Grant of License

Subject to the terms and conditions of this Agreement, BitCodeBeast grants you a limited, non-exclusive, non-transferable, non-assignable license to:

• Use the Software for your internal business purposes only
• Install the Software on systems under your control
• Make reasonable backup copies for archival purposes
• Access and use any accompanying documentation

2. License Restrictions

You may not, and may not permit others to:

• Modify, adapt, alter, translate, or create derivative works of the Software
• Reverse engineer, disassemble, decompile, or otherwise attempt to derive source code
• Distribute, sell, lease, rent, lend, or sublicense the Software
• Remove or alter any proprietary notices or labels
• Use the Software for any unlawful purpose
• Use the Software to develop competing products or services

3. Ownership and Intellectual Property

BitCodeBeast retains all right, title, and interest in and to:

• The Software and all intellectual property rights therein
• Any updates, modifications, or enhancements to the Software
• Proprietary methodologies and know-how used in development
• All copyrights, patents, trade secrets, and other intellectual property

4. Third-Party Components

The Software may include third-party components subject to separate license terms. Such components are identified in accompanying documentation and remain subject to their respective license agreements.

5. Support and Maintenance

Support and maintenance services, if any, are provided under separate agreements. This license does not include any obligation to provide support, updates, or maintenance unless specifically agreed upon in writing.

6. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. BITCODEBEAST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

IN NO EVENT SHALL BITCODEBEAST BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Indemnification

Licensee agrees to indemnify, defend, and hold harmless BitCodeBeast from any claims, damages, losses, or expenses arising from Licensee's use of the Software in violation of this Agreement.

9. Term and Termination

This Agreement is effective until terminated. BitCodeBeast may terminate this Agreement immediately upon notice if you breach any term. Upon termination:

• All rights granted hereunder cease immediately
• You must cease all use of the Software
• You must destroy all copies of the Software in your possession
• Sections relating to ownership, warranty disclaimer, and limitation of liability survive

10. Export Compliance

You acknowledge that the Software may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and regulations.

11. Governing Law and Jurisdiction

This Agreement is governed by the laws of [Jurisdiction] without regard to conflict of law principles. Any legal action must be brought in the courts of [Jurisdiction].

12. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the Software and supersedes all prior agreements and understandings, whether written or oral.
